Terms of Service

1. Agreement to Terms

By accessing or using Chronicler's services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Chronicler provides an AI agent audit trail platform that includes decision capture, policy enforcement, visualization tools, zero-knowledge proof generation, and compliance exports. The specific features available to you depend on your subscription plan.

3. Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access
• You may not use the service if you are under 18 years of age
• One person or legal entity may not maintain more than one free account

4. Acceptable Use

You agree not to use Chronicler to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malware or malicious code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service
• Use the service for competitive analysis
• Resell the service without authorization

5. Data Ownership

Your Data: You retain all rights to the data you submit to Chronicler. We do not claim ownership of your audit trails, policies, or any other content you create.

License to Us: You grant us a limited license to process, store, and transmit your data solely to provide the service. This license ends when you terminate your account.

6. Payment Terms

• Paid plans are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change pricing with 30 days notice
• Failure to pay may result in service suspension
• You are responsible for all applicable taxes

7. Service Level Agreement

For Pro and Enterprise plans, we commit to:

• 99.9% uptime for the core capture and policy evaluation services
• Response times under 100ms for policy evaluations (p95)
• Data durability of 99.999999999% (11 nines)

Service credits are available for Enterprise customers experiencing outages beyond these commitments.

8. Intellectual Property

The Service and its original content (excluding user-provided content), features, and functionality are and will remain the exclusive property of Chronicler. The Service is protected by copyright, trademark, and other laws.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

IN NO EVENT SHALL CHRONICLER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Chronicler from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.

12. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Service will immediately cease
• You may export your data within 30 days (paid plans)
• We will delete your data after the retention period

13. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
